Research playbook

What would strengthen or challenge the reading?

A set of conditions to investigate, not a claim that an insider transaction predicts the next move.

Strengthens the case

Participation broadens

Additional named insiders acquire on separate dates, and price holds its recent gains. Check the original filing for cash purchases and trading plans.

Alternative explanation

Activity is routine

Awards, option exercises, tax withholding or scheduled transactions may explain the activity. A reported acquisition alone does not establish conviction.

Challenges the case

The pattern fades

Acquisitions stop, disposals broaden or price continues lower. Reassess the evidence instead of treating earlier transactions as a price floor.

Participation and concentration

Who is behind the activity?

Largest participant: 56% of capped evidence weight. Multiple rows from one person do not become multiple independent voices.

How to read this research

Useful signals, with the source in view

Data API โ†—

Activity is a starting point

The score measures the balance of priced common-share acquisitions and disposals. The feed does not identify transaction codes, trading plans or filing dates. A reported acquisition is not necessarily a discretionary purchase; a disposal does not prove a bearish view.

People before repeated records

Duplicate records for the same person are combined. Each participantโ€™s contribution is capped; group scores give each qualifying company equal weight. Role, transaction age and size affect the reading. Fifty is mixed or insufficient evidence.

Quality is separate from direction

Evidence quality reflects usable records, named participants and freshness. It is capped at 60/100 while transaction purpose is unverified. Neither score is a probability, a forecast or a measured trading edge.

Windows, amounts and chart interpretation

Company and group reports use the latest 90 calendar days; the dashboard also accepts date filters. Only priced common-share events with usable unit prices enter the score and its value totals. Ambiguous amount estimates, awards, derivatives and unpriced records remain visible as context. Different insiders with identical transactions remain separate.

Charts place transactions in their calendar week, not at the time a filing became public. They describe historical context and cannot establish a tradeable signal or a causal price response. Empty weeks mean no matching records in the selected window, not proof that no activity occurred. Historical returns should not be backtested from transaction dates without publication timestamps.

The 14-day cluster requires three named acquirers at one company. Repeat activity requires separate transaction dates. The 30-day change compares only companies with usable evidence in both consecutive windows.

Collection schedule and original sources

Weekday collection starts at 05:30 America/New_York, with an 08:00 recovery check. Batches resume until 09:15 and check the preceding 90 transaction days. Successful coverage is shown explicitly. A completed provider check can contain no new transactions.

Most Form 4 transactions must be reported within two business days. The provider can add delay. The dashboardโ€™s last check time is not a filing timestamp.
